Terms of Service
The agreement between your organization and Lunar, Inc. for using Morsa.

Morsa is a product of Lunar, Inc., a Delaware corporation (“Lunar”, “we”, “us”). These terms form an agreement between your organization and Lunar, Inc. covering your use of Morsa (the “Service”), your accounts, the data you connect to it, and what each of us is responsible for. If you have signed an order form with us, it forms part of this agreement. Our Privacy Policy explains how we handle information.
1. The Service
Morsa is AI software that helps manufacturing businesses run their operations. It works through WhatsApp and the systems you connect to it, such as email and ERP systems, and it can track work, answer questions, and take actions for your team when asked (the “Service”).
2. Accepting these terms
By using the Service, you agree to these terms. If you use the Service for an organization, you agree for that organization and confirm that you are allowed to, and “you” means that organization.
3. Accounts
Keep your account information accurate and your login credentials secure. You are responsible for activity under your organization’s accounts, and for deciding which people and WhatsApp groups Morsa works with.
4. Acceptable use
You agree not to:
use the Service to break the law or infringe anyone’s rights;
connect accounts or share data you do not have the right to connect or share;
send spam or unsolicited messages through the Service;
interfere with the Service or try to get around its security or access controls;
probe or test the Service’s security without our written permission;
resell the Service, or use it to build a competing product;
use the Service to harass, abuse, or harm anyone.
We may suspend access if we reasonably believe these rules have been broken.
5. Your data and connected services
Your data. You keep all rights to the data you put into or connect to the Service. You give us permission to host, process, and display it only as needed to provide the Service to you.
Connected services. You can connect third-party services such as Gmail, Microsoft Outlook, WhatsApp, and ERP systems. When you do, you authorize Morsa to access and act on those accounts as described in our Privacy Policy. Those services are provided by third parties under their own terms, and we are not responsible for them. You can disconnect a service at any time.
Your responsibility. You are responsible for having the right to connect each account and to share its data with the Service.
6. AI output
The Service uses AI. Its output can be incomplete, inaccurate, or out of date. You are responsible for reviewing output before you rely on it, and for the decisions you make with it. Actions the Service takes on your instruction, such as sending a message or updating a record, are taken on your behalf.
7. Fees
You agree to pay the fees as agreed in your order form. Unless your order form says otherwise, fees exclude taxes, and fees already paid are not refundable.
8. Confidentiality
Each of us will protect the other’s non-public information, use it only for this agreement, and share it only with people who need it and are bound by similar obligations. This does not cover information that is public, that was already known, or that is independently developed.
9. Termination
Either of us may end this agreement as set out in your order form, or, if there is none, at any time with notice. We may suspend or end access if you break these terms or if the law requires it. When the agreement ends, your access ends, and we delete your data as described in our Privacy Policy.
10. Disclaimers
We provide the Service “as is” and “as available.” To the extent the law allows, we make no warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not promise that the Service will be uninterrupted or error free.
11. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the fees you paid us in the twelve months before the claim arose.
12. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute relating to these terms or the Service will be brought only in the state or federal courts located in Delaware, and each of us consents to the jurisdiction of those courts.
13. Changes to these terms
We may update these terms. When we make a material change, we will post the updated terms here with a new date. If you keep using the Service after a change takes effect, you accept the updated terms.
